The firm acts on behalf of French and foreign institutional clients, mainly composed of international groups and investments funds, in several areas such as finance, telecommunications, agriculture and services.

In particular, the firm assists its clients in their external growth strategy in Africa and the Middle East. The firm has thus developed a particular know-how in the laws of African countries (North-Africa, OHADA and sub-Saharan Africa, etc.).

KAB LS’ multidisciplinary team enables it to handle all aspects of any mergers and acquisitions (M&A) transaction and to provide turnkey solutions to its clients. The firm thus accompanies its clientele from the initial phases of legal and tax restructuring, to conducting due diligence exercises, negotiating definitive sales documentation, handling regulatory phases (interactions with Competition Authorities and various local regulators), and finally completing any post-closing formalities.

In terms of mergers and acquisitions, we mainly handle:

  • Sale/purchase operations
  • Asset restructuring
  • Private equity (joint-venture and LBOs)
  • Distressed acquisitions

The firm handles private equity operations covering all types of capital investment transactions, acting either on the behalf of investment funds or managers: venture capital, growth equity, buyouts and turnarounds.

The team also designs executive compensation schemes: validation of preferred incentives; retrocession of capital gains; implementing stock-option or free-share plans; issuing warrants, BSPCE, etc.
